Terms of Service

01Acceptance of these terms

By visiting boardstudio.app, joining our waitlist, accepting a demo invitation, or backing our Kickstarter campaign, you agree to these Terms of Service ("Terms"). If you don’t agree, please don’t use the service.

These Terms form a binding agreement between you and Calyx Studio, S.L.U. (in formation), the operator of BoardStudio. They are written in plain language on purpose — if anything is unclear, ask us at hello@boardstudio.app.

02About the service

BoardStudio is a webapp under active development for designing and 3D-printing every component of a board game — cards, modular boards, tokens, dice, storage cases. The current public site is a marketing landing and waitlist; the studio editor is in closed development and not yet available to the general public.

References to the "Kickstarter campaign" describe a planned crowdfunding campaign expected to launch on Kickstarter in 2026. Dates, tiers, prices, and stretch goals are working numbers and may change before the campaign goes live.

03Waitlist & communications

When you submit your email through the waitlist form:

  • You consent to receive launch updates, beta-related emails, and Kickstarter campaign notifications.
  • You can unsubscribe at any time using the link at the bottom of every email — instantly, no questions asked.
  • Joining the waitlist does not guarantee a discount, an early-bird slot, a backer reward, a demo invitation, or any commercial benefit. It’s a notification list.
  • We don’t sell, rent, or share your email with anyone else for marketing.

04Kickstarter campaign

When the Kickstarter campaign goes live, your relationship as a backer is governed primarily by Kickstarter’s own Terms of Use and the specific rules of our project page on kickstarter.com — those rules take precedence on the platform. Our role as creator is to deliver the rewards described on the campaign page in good faith and on a reasonable timeline.

All-or-nothing model

Kickstarter operates an "all-or-nothing" funding model. If the campaign’s funding goal isn’t reached, no payment is collected and no rewards are committed. If the goal is reached, you’re charged at campaign close and we’re committed to delivering your selected reward.

Delivery, refunds, and changes

Estimated delivery dates are exactly that — estimates. Software development and hardware ecosystems shift; we will communicate transparently if dates change. Refund handling for funded campaigns follows Kickstarter’s policies and applicable EU consumer law for digital goods (your statutory rights as a consumer are not affected by these Terms).

Pre-campaign disclaimer: until the Kickstarter campaign is officially live on kickstarter.com, no purchase agreement exists between you and Calyx Studio, S.L.U. The waitlist is purely informational.

05Demo access & beta

From time to time we may offer a small number of demo accounts for the studio editor before public launch. Demo access is provided as follows:

  • Free of charge and at our sole discretion.
  • Time-limited — typically a few weeks, after which the demo account expires.
  • For personal evaluation only — not for commercial use, not for resale, not for production projects.
  • "Work in progress" — features may break, change shape, or disappear without warning. Designs created in the demo may not be portable to the final product.
  • Feedback channel: we may invite you to share feedback (bug reports, feature requests). Your feedback is voluntary and you grant us a non-exclusive, royalty-free license to act on it. We won’t name you publicly without your permission.

06Intellectual property

The BoardStudio name, logo, brand identity, website design, demo footage, and any associated software are owned by Calyx Studio, S.L.U. (or its licensors) and protected by copyright, trademark, and design rights.

You may:

  • View, share, and link to public pages of boardstudio.app.
  • Reference BoardStudio in editorial, journalistic, or non-commercial educational contexts using factually correct screenshots.

You may not, without prior written permission:

  • Copy, modify, redistribute, or commercially exploit our brand assets.
  • Imply endorsement, partnership, or sponsorship that doesn’t exist.
  • Reverse-engineer, decompile, or scrape the studio editor or its outputs beyond what EU copyright exceptions allow.

07Your content & licenses

Your designs are yours. When the studio editor is available, anything you create — card layouts, board geometry, custom artwork, game rules — remains your intellectual property. We claim no ownership over your designs.

To run the service (storing, rendering, exporting, generating 3D models from your designs), you grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, copy, transmit, and display your content strictly for the purpose of providing the service to you. This license ends when you delete the content or close your account.

If you upload third-party content (images, fonts, IP-protected materials), you confirm you have the right to do so. You are responsible for any third-party rights in the content you upload.

Future community marketplace

If we launch the planned community marketplace (stretch goal at 150k €), separate marketplace terms will govern publishing and selling content. You will explicitly opt-in before any of your content is published; nothing happens automatically.

08Acceptable use

You agree not to use BoardStudio to:

  • Upload, host, or share content that infringes third-party intellectual property rights.
  • Upload, host, or share content that is illegal, defamatory, hateful, harassing, sexually explicit involving minors, or that incites violence.
  • Attempt to disrupt the service (DDoS, scraping at abusive rates, exploiting vulnerabilities).
  • Bypass rate limits, authentication, or other technical protections.
  • Use the service to send spam, phishing, or unsolicited bulk communications.
  • Sell, lease, or commercially redistribute our software or output without an applicable license.

We reserve the right to suspend access for any account that materially violates these rules, with notice when reasonable.

09Disclaimer & "as is"

BoardStudio, including the public site, the waitlist, the demo, and any pre-launch materials, is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law.

Specifically, we do not warrant that:

  • The service will be uninterrupted, error-free, or perfectly available.
  • 3D-print profiles will produce defect-free parts on every printer, in every material, under every condition. Always test print on your own setup.
  • Designs created in the demo will remain compatible with future versions of the editor.

Your statutory rights as a consumer under EU and Spanish law are not waived by this clause.

10Limitation of liability

To the maximum extent permitted by law, Calyx Studio, S.L.U. is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, business interruption, or wasted filament/material costs — arising out of or in connection with your use of the service.

Our total aggregate liability for any direct damages is limited to the greater of: (a) the amount you have paid to us in the 12 months preceding the claim, or (b) one hundred euros (100 €).

Nothing in these Terms limits our liability for: gross negligence, willful misconduct, fraud, death or personal injury caused by our negligence, or any liability that cannot be limited under Spanish or EU law.

11Changes to the service & terms

We may modify, add, remove, or replace features of the service at any time, especially while it is in pre-launch and beta phases. For paid features once the campaign delivers, we will give reasonable advance notice of material changes that affect what you paid for.

We may update these Terms to reflect product changes, legal requirements, or new functionality. The "last updated" date at the top reflects the latest revision. For material changes affecting active users, we’ll send a heads-up by email before the new version takes effect; continued use after that date constitutes acceptance.

12Termination

You can stop using the service at any time: unsubscribe from the waitlist, request deletion of your data, or close your account when accounts exist.

We may suspend or terminate your access if you materially violate these Terms, abuse the service, or where required by law. Where suspension is appropriate (rather than full termination), we’ll generally try suspension first and explain what we need to lift it.

Sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, and governing law — will continue to apply.

13Governing law & disputes

These Terms are governed by Spanish law, without regard to conflict-of-laws rules. The mandatory consumer-protection provisions of your country of habitual residence (within the EU) continue to apply where they offer you stronger protection.

For disputes:

  • Talk to us first: the fastest way to resolve almost anything is hello@boardstudio.app. We genuinely want to fix problems, not litigate them.
  • EU online dispute resolution: if you’re an EU consumer, you can also use the European Commission’s ODR platform at ec.europa.eu/consumers/odr.
  • Courts: if a dispute cannot be resolved amicably, the courts of Jerez de la Frontera, Spain have exclusive jurisdiction, except where mandatory consumer law assigns jurisdiction to the courts of your habitual residence.
